On 23 April 2024, Eric Chow & Co. in Association with Commerce & Finance Law Offices (“Tongshang Hong Kong”), together with our PRC office, Commerce & Finance Law Offices (“Tongshang”), jointly represented the Sole Sponsor and the Underwriters of Tianjin Construction Development Group Co., Ltd. (“TJCD”, Stock Code: 02515.HK) in its listing and global offering of H shares on the Main Board of the Hong Kong Stock Exchange, with a market capitlisation of approximately HK$539 million at the time of listing.

Tianjin Construction Development Group is a construction group based in Tianjin which offers comprehensive construction services. According to the Frost & Sullivan Report, the Group ranked fourth among the private companies engaged in municipal public construction in Tianjin in terms of revenue generated from municipal public construction works in 2022.

Tongshang and Tongshang Hong Kong acted as the PRC and Hong Kong legal advisors, respectively, to the Sole Sponsor China Everbright Capital Limited and the Underwriters in this listing. The listing of Tianjin Construction Development Group Co., Ltd. marks the successful completion of the third IPO projects undertaken by the collaboration between Tongshang and Tongshang Hong Kong within the past 4 months, where we proudly provided “one-stop shop” comprehensive and high quality PRC and Hong Kong legal services.

Tongshang Hong Kong team was led by Managing Partner Eric Chow and Partner Brandon Chow. Other team members include Counsel Winnie Tang, Associates Evelyn Cheung and Carol Chan, and supported by Trainee Solicitor Hans Kang.

Eric Chow & Co. in Association with Commerce & Finance Law Offices (“Tongshang Hong Kong”), advised in a billion placing of new H shares of Zhaojin Mining Industry Company Limited (HKEx: 1818) (“ZHAOJIN MINING”). UBS and Huatai International acted as the Placing Agents in this transaction.

Zhaojin Mining Industry Company Limited is a state-owned enterprise, with exploration, mining, ore processing and smelting operations based in the Zhaoyuan district of Shandong province in the PRC.

Tongshang Hong Kong team was led by Partners Liu Ning and Angela Zhang, supported by Senior Associate Yin Yue, Legal Consultants Yihao Li and Weiyun Zhu.

Eric Chow & Co. in Association with Commerce & Finance Law Offices (“Tongshang Hong Kong”), together with our PRC office, Commerce & Finance Law Offices (“Tongshang”), jointly advised in a HK$978 million top-up placing of shares of China Nonferrous Mining Corporation Limited (HKEx: 1258) (“CNMC”). In this transaction, a wholly-owned subsidiary of China Nonferrous Metal Mining (Group) Co., Ltd which is a state-owned enterprise, appointed the placing agent to place up to 163 million shares of CNMC at a placing price of HK$6.0 per share. China International Capital Corporation Hong Kong Securities Limited acted as the Placing Agent in this transaction.

CNMC’s subsidiaries are principally engaged in exploration, mining, ore processing, leaching, smelting and sale of copper cathodes, blister copper and copper anodes, and production and sale of cobalt hydroxide, sulphuric acid and liquid sulphur dioxide.
