Terence Lau is a senior consultant in Eric Chow & Co. in Association with Commerce and Finance Law Offices.

Terence has more than 28 years of experience practising in Hong Kong with extensive expertise in corporate finance. Terence has a wealth of experience in equity offerings, IPOs, M&As, share buy-backs and regulatory and compliance matters associated with listed companies in Hong Kong. Terence is also a China-Appointed Attesting Officer.

Prior to joining Commerce & Finance, Terence spent more than 15 years as a partner in two leading international law firms. Terence also worked in Burroughs Wellcome (merged with GSK), selling pharmaceuticals in the PRC and Hong Kong from 1989-1993.

Terence is widely recognised as a “Leading Individual” in the equity capital markets of China and Hong Kong by Chambers Asia-Pacific from 2008 to 2020 and Legal 500 Asia Pacific from 2020 to 2024. Capital Markets

  • Macquarie as the sole sponsor on the US$81 million global offering and IPO of BetterLife Holding Limited (HKEx: 6909) on the Main Board of the Hong Kong Stock Exchange. BetterLife is an automobile dealership service provider in China focusing on luxury and ultra-luxury brands.
  • CLSAas the sole sponsor on the US$133 million global offering and IPO of Neusoft Education Technology Co. Limited (HKEx: 9616) on the Main Board of the Hong Kong Stock Exchange. Neusoft Education is a leading private IT higher education service provider in China.
  • CMB International  as the sole sponsor on the US$47 million global offering and IPO of China Beststudy Education Group (HKEx: 3978) on the Main Board of the Hong Kong Stock Exchange. China Beststudy is the largest K-12 after-school education service provider in southern China.
  • UBS, Haitong International Capital and ABCI Capital as joint sponsors on the US$199 million IPO and global offering under Rule 144A placing of Times Property Holdings Limited (HKEx: 1233) on the Main Board of the Hong Kong Stock Exchange. Times Property is one of the leading real estate developers in China.
  • CLSA, CITIC Securities, Credit Suisse, BOCOM International and CIMB Securities as underwriters on the US$284 million IPO and global offering under Rule 144A placing of Macau Legend Development Ltd (HKEx: 1680) on the Main Board of the Stock Exchange of Hong Kong. Macau Legend is one of the leading owners of entertainment and casino gaming facilities in Macau and a gaming service provider in Macau.
  • Citigroup, Morgan Stanley, Standard Chartered Securities, BOCOM International and First Shanghai as underwriters on the US$215 million IPO and global offering under Rule 144A placing of CIFI Holdings (Group) Co. Ltd. (HKEx: 0884) on the Main Board of the Stock Exchange of Hong Kong. CIFI Holdings is a real estate developer in China.
  • Central China Real Estate Limited (HKEx: 0832) on its US$177 million IPO and global offering under Rule 144A placing on the Main Board of the Stock Exchange of Hong Kong, sponsored by Morgan Stanley. Central China Real Estate is a leading Chinese residential property developer.
  • CMB International and UBS on a US$249 million top-up placing of shares of China Hongqiao Group Limited (HKEx: 1378). Hongqiao Group is the world’s largest aluminum product producer.
  • Gemini Investments on a US$23 million issue of new shares under a general mandate and a specific mandate to three investors.
  • DBS Asia Capital and Nomura International (Hong Kong) on a US$665 million rights issue by Chong Hing Bank Limited (“Chong Hing Bank”) and a US$129 million issue of new shares in Chong Hing Bank to Guangzhou Metro Investment Finance (which is wholly owned by Guangzhou Metro Group, a wholly State-owned company under the Guangzhou Municipal Government). Chong Hing Bank is a commercial bank in Hong Kong.

Mergers and Acquisitions

  • Estate Spring International Limited, an associated company of Sino-Ocean Group, (HKEx: 3377) for the purchase of 154,518,125 shares in Gemini Investments (Holdings) Limited (HKEx: 0174) for US$22 million and the subsequent mandatory general offer by Estate Spring for the shares in Gemini (other than those shares owned by Estate Spring and persons acting in concert with it).
  • SIM Technology on its US$78 million disposal of the entire equity interest in Shanghai Simcom Wireless Solutions (a company engaged in the design and research and development of wireless communication modules).
  • Huatai Financial on mandatory unconditional cash offer by Foxconn (Far East) to acquire all the issued shares of Teleeye Holdings.
  • Top Spring International on its US$2.0 billion disposal of Tai Xiang, Changzhou Top Spring, Shenzhen Water Flower and Nanchang Top Spring (companies which own property projects in the PRC) to H-Change Real Estate Group (a property developer in the PRC), which is a very substantial disposal.
  • Top Spring International on its US$595 million disposal of Shanghai Huan Jian, Shanghai Li Te Man, Nanjing Top Spring Metropolitan, Shenzhen Panye, Hui Dong Lai Yang Tian, Hui Dong Lai Hai Tian (companies which own property projects in the PRC) to Sunac China (a property developer in the PRC listed on the Hong Kong Stock Exchange) and provision of guarantee.
  • Top Spring International on its US$273 million acquisition of the entire issued share capital of SSCP which owns Shama Century Park in Shanghai, the PRC, comprising serviced apartments and car parks.
  • Macau Legend Development on its US$42 million acquisition of Savan Vegas Hotel and Entertainment Complex from the Government of the Lao People's Democratic Republic, a full-service casino, hotel and resort located in Nongdeune Village, Kaisonphomvihanh District, Savannakhet Province of the Lao People's Democratic Republic.
  • China Light & Power on its group restructuring by way of a scheme of arrangement and the establishment of CLP Holdings.
  • W.S. Wong & Sons on its unconditional partial cash offer of the shares in Wong’s International (Holdings).
  • Harbin Brewery Group in the defence of the hostile takeover by SABMiller Plc. and the recommended competing offer made by Anheuser-Busch for the company.
